Welcome to PH Publishing Co. PH Publishing Co. is a trade name of Haven House Publishing LLC (“Company,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, online store, checkout, and related services (collectively, the “Services”), including purchases made through the Services.

Our online store and checkout are powered by Shopify. By accessing or using the Services, or by placing an order through our online store, you agree to these Terms and to any policies incorporated into them by reference. If you do not agree to these Terms, you should not use the Services.

Certain features of the Services may be provided by third parties, including Shopify. Your use of those features may also be subject to applicable third-party terms and policies.

1. Use of the Services

The Services are provided to allow visitors and customers to learn about PH Publishing Co., our imprints, books, authors, and related activities; communicate with us; and, where available, purchase products through our online store.

You may access and use the Services for lawful personal and non-commercial purposes in accordance with these Terms. You may also share links to publicly available pages and information about our books and other offerings.

You agree not to use the Services in any manner that violates applicable law, infringes the rights of others, interferes with or disrupts the operation or security of the Services, or attempts to gain unauthorized access to any portion of the Services or related systems.

Additional restrictions on use of the Services are described in Section 10, Prohibited Uses.

2. Eligibility and Customer Information

By using the Services or placing an order, you represent that you are legally capable of entering into a binding agreement under applicable law. If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian.

When you provide information through the Services, including when placing an order or contacting us, you agree to provide information that is accurate, current, and complete. You are responsible for ensuring that information necessary to process and fulfill an order, including your contact, billing, and shipping information, is correct.

We may be unable to process or fulfill an order if the information provided is inaccurate, incomplete, or cannot reasonably be verified.

3. Products and Availability

We make reasonable efforts to describe and display our products accurately, including their titles, formats, prices, and other relevant details. However, product descriptions, images, specifications, pricing, and availability may be updated from time to time, and we do not warrant that all information displayed through the Services will be error-free or complete.

Products may be offered in limited quantities and are subject to availability. We may limit, discontinue, or modify products or product offerings at any time, subject to applicable law.

The appearance of products, including colors and other visual details, may vary depending on your device, display settings, or the physical characteristics of the product. Images are provided for general representation and may not reproduce every physical detail exactly.

If we discover a material error affecting a product or an order, we will address it in accordance with these Terms and applicable law.

4. Orders and Acceptance

When you place an order through the Services, you are making an offer to purchase the products included in your order. Receipt of an order confirmation does not necessarily constitute our acceptance of the order.

We reserve the right to accept, decline, or cancel an order for legitimate business reasons, including product unavailability, errors in product or pricing information, suspected fraud or unauthorized activity, payment issues, or restrictions affecting our ability to fulfill or deliver the order. We will not decline or cancel an order for an unlawful or discriminatory reason.

If we cancel an order after payment has been collected, we will refund the amount paid for the canceled portion of the order to the original payment method, subject to applicable law.

Orders are intended for personal use unless otherwise agreed by us. If you are interested in purchasing books for resale, wholesale, institutional, or other commercial purposes, please contact us regarding appropriate ordering arrangements.

5. Pricing, Billing, and Payment

Prices displayed through the Services are shown in U.S. dollars unless otherwise indicated and may change from time to time. The price applicable to an order is the price displayed at the time the order is placed, subject to correction of errors as described in these Terms.

Applicable taxes, shipping charges, and other charges, if any, will be calculated or disclosed during checkout as applicable. Where a tax amount is identified as an estimate, the final amount may be determined as part of processing the transaction.

Payments are processed through Shopify and its supported payment providers. By submitting payment information, you represent that you are authorized to use the payment method provided and authorize the applicable charges associated with your order.

You agree to provide accurate and complete billing information and to keep information necessary to complete your transaction current. We may decline or cancel an order if payment cannot be authorized or processed, subject to Section 4, Orders and Acceptance.

We do not independently receive or store complete payment-card information when payment is processed through Shopify or another payment provider. Payment information is handled by the applicable provider in accordance with its own terms and privacy practices.

6.  Shipping and Delivery

Physical products purchased through the Services will be shipped to the delivery address provided with the order. Available shipping methods, charges, and any applicable shipping estimates will be presented during checkout or otherwise communicated before purchase, as applicable.

Any stated shipping or delivery timeframes are estimates unless expressly identified otherwise. We will make reasonable efforts to ship orders within the timeframe communicated at the time of purchase.

If we are unable to ship an order within the applicable timeframe, we will provide notice and offer the options required by applicable law, including, where applicable, the opportunity to consent to a revised shipping timeframe or cancel the affected order and receive a prompt refund.

Delivery after shipment may be affected by circumstances outside our reasonable control, including carrier delays, weather, service disruptions, or an incorrect or incomplete delivery address provided with the order.

Additional information about fulfillment, shipping, and delivery is provided in our Shipping Policy, which is incorporated into these Terms by reference.

7. Returns and Refunds

Returns, exchanges, cancellations, and refunds are subject to our Return & Refund Policy, which is incorporated into these Terms by reference.

If you receive a product that is damaged, defective, or materially different from the product you ordered, please contact us promptly so that we can review the issue and provide an appropriate remedy in accordance with our Return & Refund Policy and applicable law.

Refunds, when approved or otherwise required, will generally be issued to the original payment method. The time required for a refund to appear may vary depending on the payment provider or financial institution.

Nothing in these Terms or our Return & Refund Policy limits any rights or remedies that cannot lawfully be waived or restricted under applicable law.

8. Intellectual Property

The Services and the content made available through them, including text, illustrations, artwork, graphics, photographs, logos, trademarks, trade names, book covers, characters, designs, and other original materials, are owned by or licensed to PH Publishing Co., Haven House Publishing LLC, or their respective rights holders and are protected by applicable copyright, trademark, and other intellectual property laws.

You may access and use publicly available content through the Services for your personal, non-commercial use. You may also share links to publicly available pages and information about our books and other offerings.

Except as permitted by applicable law or with prior written permission from the applicable rights holder, you may not reproduce, distribute, publish, modify, create derivative works from, publicly display, commercially exploit, or otherwise use protected content made available through the Services.

Purchasing a book or other product does not transfer to you any copyright, trademark, or other intellectual property rights in the content or materials embodied in that product. Ownership of a physical copy is separate from ownership of the intellectual property contained in it.

Nothing in the Services or these Terms grants you any license or right to use any trademark, trade name, logo, character, or other protected brand element except as expressly authorized in writing or permitted by applicable law.

9. No Professional Advice

Content made available through the Services, including information relating to thoughts, emotions, mindfulness, well-being, parenting, education, or similar topics, is provided for general informational and educational purposes only.

Nothing made available through the Services is intended to constitute or substitute for medical, mental health, psychological, legal, or other professional advice, diagnosis, or treatment. You should seek guidance from an appropriately qualified professional regarding questions or concerns specific to your circumstances.

Our books and other published materials may explore educational, emotional, or well-being topics, but their availability through the Services does not create a professional, therapeutic, clinical, or other advisory relationship between you and PH Publishing Co., Haven House Publishing LLC, an author, or any other contributor.

10. Prohibited Uses

You may not use the Services, or any content made available through the Services, to:

• violate any applicable law or regulation or facilitate unlawful activity;

• infringe, misappropriate, or violate the intellectual property, privacy, publicity, or other rights of PH Publishing Co., Haven House Publishing LLC, or any third party;

• transmit malicious code, viruses, or other technology intended to damage, disrupt, interfere with, or compromise the Services or related systems;

• attempt to gain unauthorized access to the Services, accounts, systems, networks, or data;

• interfere with, disrupt, circumvent, or compromise the operation, security, or integrity of the Services;

• use automated means to access, scrape, extract, copy, or collect content or data from the Services in a manner that violates applicable law, these Terms, or the rights of PH Publishing Co., Haven House Publishing LLC, or others;

• impersonate another person or entity, misrepresent your identity or affiliation, or provide materially false information in connection with the Services;

• use the Services to transmit spam, fraudulent communications, or other deceptive or abusive material; or

• use content obtained through the Services for unauthorized commercial exploitation.

We may take reasonable steps to prevent or address prohibited activity, including restricting or terminating access to the Services where appropriate, subject to applicable law.

11. Third-Party Services and Links

The Services may rely on, integrate with, or provide access to services, features, content, or websites operated by third parties. These may include ecommerce, payment, shipping, communications, hosting, analytics, and other service providers that help us operate the Services or fulfill transactions.

Certain third-party services may be subject to their own terms, policies, and practices. Your use of a third-party service may therefore be governed by the terms and policies of the applicable provider in addition to these Terms.

The Services may also contain links to websites, platforms, or resources operated by unaffiliated third parties. We do not control those third-party websites or resources and are not responsible for their availability, content, security, privacy practices, or other practices.

The inclusion of a link to an unaffiliated third party does not, by itself, imply endorsement of or responsibility for that third party or its products, services, content, or practices.

Nothing in this Section limits any responsibility that we have under applicable law for the Services or products that we provide directly to you.

12. Shopify

Our online store, checkout, and certain related commerce services are powered by Shopify. When you visit or make a purchase through our online store, Shopify may collect and process information about your use of the store and your transaction in order to provide and support these services.

We have enabled Shopify Network Intelligence. As a result, Shopify may process information about customer interactions and transactions with our store together with information from interactions with other merchants and with Shopify to provide Enhanced Services. These services may include features related to personalization, analytics, advertising, and other commerce functionality.

Information may be shared with Shopify and other service providers, including providers located in countries other than your own, as necessary to provide these services. Shopify's processing of personal information is also governed by its applicable privacy terms and policies.

Our use of Shopify does not make Shopify the seller of products purchased from PH Publishing Co. Unless otherwise expressly stated, purchases from our store are transactions between you and PH Publishing Co.

13. Privacy

Our collection, use, disclosure, and processing of personal information in connection with the Services are described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you acknowledge that personal information may be collected and processed by us and by service providers that support the Services, including Shopify, as described in our Privacy Policy and applicable third-party privacy policies.

Privacy rights and choices may vary depending on your location and applicable law. Information about available privacy choices, including how to submit a privacy-related request and, where applicable, exercise data-sharing opt-out rights, is provided in our Privacy Policy.

14. Availability, Errors, and Changes

We make reasonable efforts to keep the Services and the information made available through them accurate, current, and available. However, the Services may occasionally contain errors, inaccuracies, or omissions, including information relating to product descriptions, pricing, availability, promotions, shipping, or other content.

We may correct errors or inaccuracies and update or modify the Services and their content from time to time. We may also suspend, modify, or discontinue features or portions of the Services where reasonably necessary.

We do not guarantee that the Services will be available at all times or operate without interruption, delay, or error. Availability may be affected by maintenance, technical issues, third-party services, security events, or circumstances outside our reasonable control.

Any correction, modification, suspension, or discontinuation under this Section is subject to applicable law and does not, by itself, alter our obligations with respect to an order that we have already accepted. Errors affecting an order will be addressed in accordance with these Terms and applicable law.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, we do not warrant that the Services will be uninterrupted, error-free, secure, or available at all times, or that all information made available through the Services will be complete or free from errors.

Except for warranties or rights that cannot lawfully be excluded or limited, we make no additional warranties regarding the operation or availability of the Services beyond those expressly stated in these Terms or otherwise provided by us in writing.

Nothing in this Section excludes, limits, or disclaims any warranty, right, or remedy that cannot lawfully be excluded, limited, or disclaimed under applicable law.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Haven House Publishing LLC, doing business as PH Publishing Co., and its officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total liability for any claim arising out of or relating to the Services or a purchase made through the Services will not exceed the amount you paid to us for the product or transaction giving rise to the claim.

The limitations in this Section do not apply to liability arising from fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms limits any rights or remedies available to you under applicable law that cannot lawfully be waived or restricted.

17. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Haven House Publishing LLC, doing business as PH Publishing Co., and its officers, employees, contractors, and agents from and against third-party claims, liabilities, damages, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, arising directly from:

• your unlawful or unauthorized use of the Services;

• your material violation of these Terms; or

• your infringement or violation of the intellectual property, privacy, publicity, or other rights of a third party.

Your obligations under this Section apply only to the extent that the claim, liability, damage, loss, cost, or expense results from your own acts or omissions and is not caused by the acts or omissions of an indemnified party.

Nothing in this Section requires you to indemnify any party for conduct for which indemnification cannot lawfully be required under applicable law.

18. Governing Law and General Terms

These Terms and your use of the Services are governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles, except to the extent that applicable law requires the application of another jurisdiction’s laws or provides rights or protections that cannot lawfully be waived or restricted by agreement.

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with any policies or other terms expressly incorporated by reference, constitute the entire agreement between you and us regarding your use of the Services and supersede prior or contemporaneous agreements or communications concerning that subject matter.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, technology, or legal requirements.

When we update these Terms, we will post the revised version through the Services and update the Effective Date at the top of the Terms. If a change materially affects your rights or obligations, we will provide additional notice where required by applicable law.

Unless otherwise stated or required by applicable law, revised Terms will apply from their effective date and will not retroactively alter the terms applicable to a purchase completed before that date.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms to the extent permitted by applicable law.
